1. Acceptance of Terms

These Terms & Conditions (“Terms”) govern your use of the RingGuard AI website, products, and services (collectively, the “Service”).

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

If you are using the Service on behalf of a business, you represent that you have authority to bind that business to these Terms.


2. Description of the Service

RingGuard AI provides AI-powered call handling and related tools designed to:

Answer and route calls,

Capture caller information,

Book appointments or reservations,

Provide scripted and AI-based responses, and

Integrate with certain third-party systems.

We may update, improve, or modify the Service over time, including adding or removing features.


3. Eligibility & Account Registration

To use the Service, you must:

Be at least 18 years old (or the age of majority in your jurisdiction), and

Create an account with accurate and complete information.

You are responsible for:

Maintaining the confidentiality of your login credentials

All activities that occur under your account

Notifying us immediately of any unauthorized use


4. Your Responsibilities

You agree to:

Use the Service in compliance with all applicable laws and regulations (including telemarketing, privacy, and call-recording laws).

Provide accurate information about your business, hours, services, and policies.

Ensure that your scripts, prompts, and content provided to the AI are lawful and appropriate.

Obtain any necessary notices and consents from callers, customers, or staff for:

Call recording

AI interaction

Storage and processing of their information

You may not use the Service to:

Engage in spam, harassment, or abusive communications

Send unlawful or misleading marketing messages

Infringe the rights of others (privacy, IP, or otherwise)

Attempt to hack, reverse engineer, or disrupt the Service

You are solely responsible for how you and your team use RingGuard AI and for any consequences of that use.


5. Call Recording, Compliance & Consent

RingGuard AI may provide features such as call recording, call transcription, SMS, and AI responses. Laws regarding these features vary by country, state, and region (e.g., one-party vs. two-party consent for recordings).

You are responsible for:

Determining which laws apply to your use of the Service

Configuring your settings accordingly

Informing and obtaining consent from callers as required

Including any necessary disclosures in your scripts or greetings

RingGuard AI does not provide legal advice and is not responsible for your compliance with these laws.


6. Fees, Billing & Trials

a. Subscription Fees

Use of the Service may require payment of subscription fees or usage-based fees. The pricing, billing cycle, and plan limits will be described at sign-up or in your order form.

You authorize us and our payment processor to charge all applicable fees to your provided payment method.

b. Auto-Renewal

Unless otherwise stated, subscriptions automatically renew at the end of each billing cycle at the then-current rate, until canceled.

You may cancel your subscription through your account settings or by contacting us in advance of the next billing cycle.

c. Free Trials

We may offer free trial periods. At the end of a trial, if you do not cancel, you may be automatically converted to a paid plan and billed accordingly.

d. Refunds

Unless required by law or stated otherwise in a written agreement, all fees are non-refundable.


7. Term & Termination

You may stop using the Service at any time.

We may suspend or terminate your access to the Service, with or without notice, if:

You breach these Terms

You misuse the Service or engage in unlawful activity

We choose to discontinue all or part of the Service

Upon termination:

Your right to use the Service ceases immediately

We may retain or delete your data consistent with our Privacy Policy and legal obligations


8. Intellectual Property

RingGuard AI and its licensors own all rights, title, and interest in and to:

The Service, including software, interfaces, designs, text, graphics, and logos

Any improvements, updates, or derivative works

You are granted a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms.

You retain ownership of your own content, including:

Business information, scripts, FAQs, and configuration

Call data and customer information (subject to our rights to process it to deliver the Service)

By using the Service, you grant us a license to use your content and data solely to provide, maintain, and improve the Service.


9. Third-Party Services & Integrations

The Service may integrate with third-party products or services (e.g., CRM systems, calendars, payment gateways, telephony providers).

Your use of third-party services is governed by their own terms and policies.

RingGuard AI is not responsible for third-party services, their performance, or their handling of data.


10. Disclaimers

The Service is provided on an “as is” and “as available” basis.

To the maximum extent permitted by law, we disclaim all warranties, express or implied, including:

Fitness for a particular purpose

Merchantability

Non-infringement

Accuracy or reliability of AI responses

We do not guarantee:

That the Service will be error-free, uninterrupted, or secure

That AI-generated responses will always be correct, complete, or appropriate

Any specific business results, revenue, or number of leads

You understand that AI may make mistakes, misinterpret callers, or provide incomplete information. You agree to review and verify important outputs before relying on them.


11. Limitation of Liability

To the maximum extent permitted by law:

RingGuard AI and its owners, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, lost data, or business interruption.

Our total liability for any claim arising out of or relating to the Service or these Terms shall not exceed the amount you paid to us for the Service in the three (3) months preceding the event giving rise to the claim.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.


12. Indemnification

You agree to indemnify, defend, and hold harmless RingGuard AI and its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to:

Your use of the Service

Your violation of these Terms

Your violation of any law or third-party rights

Your scripts, content, or communications sent through the Service


13. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Washington, USA, without regard to its conflict of law principles.

Any disputes arising out of or in connection with these Terms or the Service shall be resolved in the state or federal courts located in , Washington, and you consent to the jurisdiction and venue of such courts.


14. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the “Last updated” date at the top.

If changes are material, we may provide additional notice (e.g., via email or in-app notification). Your continued use of the Service after changes become effective constitutes your acceptance of the updated Terms.
